Terms and Conditions

Chaparral Vin

Welcome to Chaparral Vin—where Texas skies run wide, hospitality comes easy, and good wine is meant to be enjoyed responsibly. These Guest & Membership Terms and Conditions (the “Terms”) govern your use of our website, online store, tasting room, grounds, events, reservations, wine club or allocation program, and related products and services (collectively, the “Services”).

Please read these Terms before visiting, reserving, purchasing, or joining. By accessing or using the Services, placing an order, making a reservation, buying a ticket, entering our property, or enrolling in a membership, you agree to these Terms and any policies presented at checkout, booking, enrollment, or entry. If you do not agree, do not use the applicable Service.

In these Terms, “Chaparral Vin,” “we,” “us,” and “our” mean Chaparral Vin, LLC, doing business as Chaparral Vin, and its authorized affiliates, officers, employees, and agents. “You” means the guest, purchaser, account holder, reservation holder, event attendee, or member using a Service.

A Hill Country welcome, with a practical note: Wine should make the day better—not the drive home harder. Please plan a safe ride, drink water, enjoy some food, and let our team know how we can help.

PART I — TERMS FOR ALL GUESTS AND CUSTOMERS

1. Eligibility, Legal Drinking Age, and Identification

  1. You must be at least 21 years old to purchase, receive, possess, or consume alcoholic beverages, establish an online alcohol-purchasing account, or enroll in a wine membership.
  2. By ordering wine, booking an alcohol-related experience, or joining a membership, you represent that you are at least 21 and legally permitted to purchase and receive alcoholic beverages.
  3. We may require an unexpired, government-issued photo identification at purchase, service, pickup, entry, or delivery. The name, age, photograph, and other identifying information must reasonably match the person presenting the identification and, when applicable, the purchaser or authorized pickup person.
  4. We may refuse entry, sale, service, pickup, or delivery if identification is missing, expired, altered, unverifiable, or does not reasonably match the person presenting it.
  5. No person may purchase alcohol for, furnish alcohol to, or facilitate delivery to anyone under 21. Any suspected straw purchase or attempted unlawful transfer may be refused and reported as appropriate.
  6. A parent or guardian remains responsible for supervising minors permitted on the property. Nothing in these Terms authorizes a minor to possess or consume alcohol. Chaparral Vin may apply a stricter no-minor policy to particular rooms, experiences, events, or dates.

2. Responsible Service and Right to Refuse Service

  1. We support responsible enjoyment and comply with applicable alcohol laws. We will not knowingly sell, serve, furnish, or deliver alcohol to a minor or to a person who appears intoxicated or otherwise may not lawfully receive it.
  2. Our team may slow, pause, or stop alcohol service; decline an order; remove an alcoholic beverage; request identification; arrange or recommend transportation; contact a member of your party; deny re-entry; or ask a guest to leave.
  3. A refusal or discontinuation of alcohol service is a safety decision. It does not entitle the guest to a refund for wine already consumed, a completed or partially completed tasting, an event ticket, transportation, lodging, or other incidental expense, except where required by law or expressly approved by management.
  4. Do not drink and drive. Each guest is responsible for arranging a safe and lawful means of transportation. Vehicles left overnight are at the owner’s risk and must be retrieved during approved hours; contact us before leaving a vehicle when reasonably possible.
  5. Nonalcoholic beverages and spittoons are available. Please tell our team if you would like water, a slower pace, a smaller pour where available, or help arranging a ride.

3. Reservations and Tasting Experiences

  1. Reservations. Reservations are recommended and may be required for tastings, tours, pairings, member areas, large groups, private spaces, and special events. Availability is not guaranteed for walk-ins.
  2. Accurate party size. Your reservation must include every person in the party, including non-drinkers, designated drivers, minors, and children where permitted. We may be unable to seat additional guests.
  3. Arrival. Please arrive [10] minutes before your scheduled time. We may hold a reservation for [15] minutes. Late arrival may shorten the experience, alter the wines or courses served, move the party to another available experience, or result in forfeiture if the experience can no longer be accommodated.
  4. Time limits. Reservations are for the time and duration stated at booking. We may enforce seating limits to honor later reservations and maintain safe service.
  5. Charges and deposits. Reservation fees, deposits, minimum spends, or prepayments will be disclosed before booking. Applicable taxes, gratuities, service charges, or administrative fees will be separately identified as required by law.
  6. Guest cancellation. Unless a different policy is disclosed for the experience, reservations canceled or rescheduled at least [48] hours before the scheduled start are eligible for [a full refund / a credit]. Cancellations within [48] hours and no-shows are nonrefundable. Reductions in party size within the cancellation window may be charged for the reserved number of guests.
  7. Winery cancellation. We may cancel, postpone, relocate, or modify an experience because of severe weather, unsafe conditions, power or utility interruption, illness, staffing limitations, road conditions, governmental action, crop or production needs, or other circumstances beyond reasonable control. Our ordinary remedy will be rescheduling, account credit, or refund of the amount paid directly to us for the canceled experience. We are not responsible for travel, lodging, transportation, childcare, or other third-party costs.
  8. Outdoor experiences. Hill Country weather can change faster than a tasting note. Outdoor seating and programming are subject to heat, cold, wind, rain, lightning, insects, wildlife, and uneven natural terrain. We may move or modify outdoor service when feasible but do not guarantee an indoor alternative.
  9. Groups. Parties larger than 10 guests require advance approval. We may seat large groups at separate tables, require one check, use a set menu or tasting, require a deposit or contract, and limit discounts or member benefits.
  10. No commercial use. A standard reservation may not be used for an unauthorized tour operation, resale, paid class, photo shoot, vendor activation, solicitation, or other commercial purpose.

4. House Rules and Guest Conduct

Our property is a working agricultural and hospitality site. To protect guests, staff, vines, wildlife, equipment, and neighbors:

  1. Follow posted signs and staff instructions. Remain within designated guest areas and do not enter vineyards, production rooms, kitchens, offices, storage areas, water features, equipment areas, or other restricted locations without permission.
  2. Treat guests and staff with courtesy. Harassment, threats, discrimination, fighting, dangerous conduct, excessive disruption, unwanted touching, sexual misconduct, abusive language, and interference with service are prohibited.
  3. Firearms and other weapons are governed by Texas law and posted notices. Unlawful possession, display, threat, or use is prohibited. We may impose lawful property restrictions and contact law enforcement when appropriate.
  4. Illegal drugs, unlawful controlled substances, and unauthorized intoxicants are prohibited. Cannabis and consumable-hemp products may not be consumed on the property unless expressly permitted by law and by us in writing.
  5. Smoking and vaping are prohibited except in an expressly designated area. Open flames, candles, fireworks, confetti, glitter, rice, and similar items require advance written approval.
  6. Do not bring or consume outside alcoholic beverages. Outside food and nonalcoholic beverages are not permitted, except for infant food, medically necessary items, or other reasonable accommodations.
  7. Wine and glassware must remain in permitted areas. Do not remove opened alcohol from the premises except as lawfully packaged and authorized by our team.
  8. Shirts, shoes, and suitable attire are required. Attire or displays reasonably likely to threaten, harass, or materially disrupt others are prohibited.
  9. Commercial solicitation, petitioning, distribution of materials, fundraising, and sales require prior written approval.
  10. Guests are responsible for damage they or their supervised minors, invitees, or animals cause beyond ordinary wear. We may charge the reasonable cost of repair, replacement, special cleaning, or remediation to the extent permitted by law.
  11. We may deny entry, discontinue service, or remove any person who violates these rules, creates a safety concern, disrupts operations, or fails to follow lawful staff instructions. Repeated or serious violations may result in a property ban, membership termination, or referral to law enforcement.

5. Children and Families

Family-welcoming: Well-behaved children are welcome in designated areas and must remain within the immediate supervision and control of a parent or legal guardian at all times. Children may not run, climb, play on landscaping or equipment, enter restricted areas, or disrupt other guests. Adults are responsible for the conduct, safety, and any property damage caused by children in their care. Some experiences, rooms, and events are 21+. Guests should include children in reservation counts.

6. Animals and Service Animals

  1. Trained service animals assisting a person with a disability are welcome in public areas as required by applicable law. Animals whose sole function is comfort, emotional support, companionship, or crime deterrence are not service animals under the Americans with Disabilities Act.
  2. A service animal must remain under its handler’s control and be harnessed, leashed, or tethered unless the disability prevents such use or it interferes with the animal’s work. The animal must be housebroken and may be excluded if it is out of control and the handler does not take effective action, poses a direct threat, or otherwise may lawfully be excluded.
  3. Pet Policy: Well-behaved dogs are permitted in designated outdoor areas only. Where pets are allowed, they must remain on a non-retractable leash no longer than [6] feet, be supervised, be appropriately vaccinated, and be promptly cleaned up after. Pets may not occupy furniture, contact service ware, enter food-preparation or production areas, display aggression, bark excessively, or interfere with service animals.
  4. The handler is responsible for the animal’s conduct and for injury or damage caused by the animal, subject to applicable law.

7. Accessibility and Accommodations

We aim to provide a welcoming experience for guests with disabilities. To request a reasonable accommodation or ask about physical access, seating, dietary needs, service animals, communication access, or website accessibility, contact info@chaparralvin.com or (830).362.4054 as early as practicable. We will evaluate requests individually and may offer an effective alternative when the requested accommodation would fundamentally alter a service, create an undue burden, or pose a direct safety threat.

8. Food, Allergies, and Dietary Needs

  1. Tell us about allergies or dietary restrictions when booking and again upon arrival. We will make reasonable efforts to assist but cannot guarantee an allergen-free environment or prevent all cross-contact.
  2. Wine and food may contain or contact common allergens, including milk, eggs, fish, shellfish, tree nuts, peanuts, wheat, soy, sesame, or sulfites. Ingredients and preparation methods may change.
  3. If raw or undercooked animal foods are offered, consuming them may increase the risk of foodborne illness, particularly for guests with certain medical conditions.
  4. Guests with serious allergies should make their own informed decision whether to participate. In an emergency, notify staff and call 911.

9. Purchases, Pricing, Payment, and Taxes

  1. All orders are offers to purchase and are subject to acceptance, inventory, legal availability, payment authorization, and fraud review. An order confirmation acknowledges receipt but does not necessarily constitute acceptance. We may cancel or limit an order and refund amounts paid.
  2. Prices, vintages, bottle formats, tasting lineups, discounts, benefits, and availability may change. We strive for accuracy but may correct typographical, pricing, inventory, vintage, or description errors before fulfillment. If a material correction increases the price, we will seek your approval or cancel and refund the affected item.
  3. You authorize us and our payment processors to charge the payment method you provide for your order and disclosed taxes, shipping, handling, deposits, gratuities, service charges, redirection, return, and reshipment costs.
  4. You must provide accurate billing, shipping, contact, and account information and promptly update it. You represent that you are authorized to use the payment method.
  5. Discounts cannot be combined unless expressly stated. Membership discounts apply only to eligible items and active accounts and have no cash value.
  6. Title to and risk of loss for products pass as provided by applicable law and the shipment or pickup terms presented at sale. Nothing in these Terms limits rights that cannot lawfully be waived.

10. Shipping and Delivery of Wine

  1. We ship only where and when legally permitted and through authorized carriers or methods. Available destinations and methods may change without notice due to law, carrier rules, weather, or operational constraints.
  2. The purchaser and recipient must be at least 21. An adult age 21 or older with acceptable identification must be present to sign for delivery. Wine will not be left unattended, and we do not ship wine to P.O. boxes. Some carriers or jurisdictions may impose additional restrictions.
  3. You are responsible for providing a complete, accurate, lawful deliverable address at which an adult is available during normal delivery hours. A business address may reduce missed deliveries, but the recipient remains responsible for complying with workplace rules.
  4. Carrier estimates are not guarantees. We are not responsible for delay caused by weather, heat or cold holds, carrier disruptions, natural disasters, governmental action, incorrect addresses, unavailable recipients, or other circumstances beyond our reasonable control.
  5. To protect wine quality, we may hold, reroute, upgrade, or delay a shipment during extreme temperatures or unsafe transit conditions. Additional charges will be disclosed when practicable. If you instruct us to ship despite a recommended weather hold, you accept the increased risk of weather-related damage to the extent permitted by law.
  6. You are responsible for carrier fees and our reasonable costs resulting from an incorrect or incomplete address, failed adult-signature delivery, refusal, return, address correction, redirect, storage, or reshipment, unless caused by our error.
  7. Inspect deliveries promptly. Report visible leakage, breakage, material heat or freeze damage, wrong product, or missing items within [7] days of delivery, with the order number, description, and photographs of the bottle, label, packaging, and shipping label. Preserve the product and packaging until instructed otherwise.
  8. We may replace the affected wine, issue a credit, refund the affected item, or provide another lawful remedy at our discretion, subject to product availability and nonwaivable law. Flavor preference, ordinary bottle variation, sediment, tartrate crystals, or a naturally aged cork is not necessarily a defect.
  9. A person may not order wine for resale or for delivery into a jurisdiction where the order, shipment, receipt, or possession is prohibited. You are responsible for knowing any lawful limits applicable to the recipient, while we retain responsibility for our own regulatory obligations.

11. Pickup Orders

  1. Pickup is available only during posted or confirmed pickup hours and may require an appointment or reservation.
  2. The purchaser or authorized pickup person must present acceptable identification and order confirmation. The pickup person must be at least 21. We may require written authorization before releasing an order to another person.
  3. Orders designated for pickup will be held for [60] days after the ready notice or club processing date, unless we agree otherwise in writing. We will use reasonable efforts to send a reminder.
  4. After the pickup period, and if legally and operationally permitted, we may: (a) ship the order to the address on file and charge applicable shipping and handling; (b) continue holding it for a disclosed storage fee; or (c) cancel or otherwise handle the order as permitted by law.
  5. Wine is subject to vintage and inventory availability. If delayed pickup makes the original item unavailable due to damage or other circumstances, we may offer a reasonably comparable replacement, credit, or refund.

12. Returns, Refunds, and Product Concerns

  1. Except for defective, damaged, incorrect, or unlawfully supplied products, wine sales are final after pickup or shipment because alcohol returns are regulated and wine is perishable and temperature-sensitive.
  2. Reservation, event, membership-release, merchandise, and gift-card refund rules stated at purchase are incorporated into these Terms.
  3. Merchandise in new, unused, resalable condition may be returned within [30] days with proof of purchase, excluding final-sale, personalized, perishable, or hygiene-sensitive items. Original shipping charges are nonrefundable unless the return results from our error.
  4. Approved refunds are made to the original payment method where practicable. Processing time depends on the financial institution.
  5. Contact Chaparral Vin before returning any alcohol. Do not ship alcohol to us without authorization.

13. Gift Cards, Credits, Promotions, and Donations

  1. Gift cards and account credits may be used only for eligible Chaparral Vin purchases, have no cash value except where required by law, may not be resold, and are not credit or debit cards.
  2. Lost or stolen gift cards may be replaced only with satisfactory proof and a verifiable remaining balance. Risk of unauthorized use passes to the purchaser or recipient upon delivery.
  3. Expiration, fees, exclusions, and redemption rules will be disclosed as required by law. Promotional certificates or complimentary vouchers may have lawful limitations distinct from purchased gift cards.
  4. Promotions are subject to stated dates, inventory, eligibility, geographic limits, and exclusions; may not be combined unless stated; and may be changed or ended to the extent permitted by law. Fraud, abuse, duplicate accounts, resale, or manipulation voids an offer.
  5. Donation requests and charitable commitments are valid only when approved in writing by an authorized representative.

14. Events, Tickets, and Private Bookings

  1. Event tickets are subject to the description and cancellation terms shown at purchase. Unless stated otherwise, tickets are nonrefundable within [7] days of the event but may be transferred to another eligible adult with advance notice.
  2. Resale above face value, unauthorized commercial resale, or use of tickets in promotions is prohibited. We may invalidate fraudulently obtained or unlawfully resold tickets.
  3. Event content, performers, speakers, menus, wines, seating, timing, and locations may change. A material cancellation by us will ordinarily result in rescheduling, credit, or refund of the ticket price paid to us.
  4. Private events, weddings, corporate functions, large groups, and buyouts require a separate written agreement. If that agreement conflicts with these Terms, the signed event agreement controls for that event.
  5. Vendors, decorations, amplified sound, entertainment, transportation providers, deliveries, setup, teardown, and alcohol service must be approved and comply with property rules and applicable law.

15. Photography, Recording, Publicity, and Drones

  1. Casual personal photography is welcome in public guest areas if it does not disrupt others, block paths, intrude on privacy, or use restricted equipment.
  2. Commercial photography, styled shoots, professional portrait sessions, press activity, tripods, lighting, drones, and recording for monetized or promotional use require advance written permission and may require a location agreement and fee.
  3. We may photograph or record general scenes at public events and on the property for security, operations, and promotional purposes. Where a person is a featured or readily identifiable subject for promotional use, we will obtain any release required by law. Tell a manager if you have a concern, and we will make reasonable efforts to accommodate prospective preferences.
  4. Do not photograph or record other guests in a manner that invades privacy or record restricted production, security, employee-only, or proprietary areas.
  5. Drone operation is prohibited without advance written approval and proof of lawful operation and insurance.

16. Parking, Transportation, Property, and Assumption of Ordinary Risks

  1. Park only in designated areas and obey traffic, fire-lane, rideshare, bus, and accessible-parking directions. Oversized vehicles, buses, limousines, and commercial tour vehicles require advance approval.
  2. Vehicles and personal property are left at the owner’s risk. We are not responsible for loss, theft, vandalism, weather damage, or towing except to the extent caused by our legally actionable conduct and not lawfully excludable.
  3. The property may include gravel, caliche, steps, slopes, wet surfaces, cords, agricultural equipment, insects, snakes, wildlife, plants, low lighting, heat, cold, wind, and other conditions typical of a working Texas winery. Use reasonable care, wear suitable footwear, stay in guest areas, and notify staff of a hazard.
  4. Participation in tours, vineyard walks, lawn games, and similar activities is voluntary. You accept the ordinary and inherent risks that are open and obvious or disclosed, but nothing in these Terms releases liability that cannot lawfully be released.
  5. Do not leave children, animals, alcohol, or temperature-sensitive items unattended in a vehicle.

17. Website Accounts and Acceptable Use

  1. You are responsible for the confidentiality of your login credentials and for activity under your account. Notify us promptly at info@chaparralvin.com of suspected unauthorized access.
  2. Information you provide must be accurate, current, and complete. Do not impersonate another person or create an account for someone without authority.
  3. You may use the website only for lawful personal purposes. You may not interfere with security; introduce malicious code; scrape or harvest data; use bots to purchase limited products; reverse engineer; evade access controls; test vulnerabilities without authorization; infringe rights; submit unlawful or misleading content; or use the Services to facilitate resale or other prohibited activity.
  4. We may limit, suspend, or terminate access to protect the Services, investigate suspected misconduct, comply with law, or enforce these Terms.

18. Intellectual Property and User Content

  1. The website, branding, names, logos, labels, photographs, text, designs, videos, software, and other content are owned by or licensed to Chaparral Vin and protected by intellectual-property laws. Except for limited personal, noncommercial use, no right is granted without written permission.
  2. “Chaparral Vin” and related marks may not be used in a domain name, social-media handle, advertisement, product, service, or manner suggesting affiliation without authorization.
  3. If you submit a review, photograph, recipe, comment, or other content to us or tag us with an express invitation to share, you represent that you have the necessary rights. You grant us a nonexclusive, worldwide, royalty-free license to host, reproduce, display, adapt for formatting, and share that content in connection with our business and marketing, subject to applicable law and any written campaign terms. You retain ownership of your content.
  4. Do not submit content that is unlawful, infringing, defamatory, harassing, deceptive, private, obscene, or contains malicious code. We may remove content but do not undertake to monitor all submissions.

19. Third-Party Services and Links

Our Services may use or link to third-party reservation platforms, payment processors, carriers, maps, social media, lodging, transportation, and other services. Those providers have separate terms and privacy practices. We do not control or endorse third-party content and are not responsible for a third party’s acts, omissions, availability, or charges, except as applicable law provides. A third party’s terms do not expand Chaparral Vin’s obligations.

20. Privacy, Cookies, Email, and Text Messages

  1. Our separate Privacy Notice explains how we collect, use, disclose, retain, and protect personal data and how consumers may exercise applicable rights. The Privacy Notice is incorporated by reference but is not intended to create contractual rights beyond applicable law.
  2. Transactional communications about orders, reservations, safety, accounts, and memberships are part of the Services. Marketing email is sent subject to applicable law and may be unsubscribed from using the link provided.
  3. If we offer text messaging, separate SMS terms and consent disclosures apply. Consent to marketing texts is not a condition of purchase. Message frequency may vary; message and data rates may apply; reply STOP to opt out and HELP for help.
  4. Cookie and analytics practices must be described in the Privacy Notice and any legally required preference mechanism. Do not place sensitive payment-card data in email or ordinary web forms.

21. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, WEBSITE CONTENT, AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, EXCEPT TO THE EXTENT A WARRANTY CANNOT LAWFULLY BE DISCLAIMED OR AN EXPRESS WRITTEN PRODUCT WARRANTY APPLIES.

TASTING NOTES, PAIRING SUGGESTIONS, VINTAGE DESCRIPTIONS, SCORES, AND EDUCATIONAL CONTENT ARE SUBJECTIVE AND INFORMATIONAL. THEY ARE NOT MEDICAL, DIETARY, SAFETY, FINANCIAL, OR LEGAL ADVICE. ALCOHOL AFFECTS PEOPLE DIFFERENTLY. PREGNANT PERSONS, PERSONS TAKING MEDICATION, AND PERSONS WITH HEALTH CONDITIONS SHOULD CONSULT AN APPROPRIATE PROFESSIONAL REGARDING ALCOHOL CONSUMPTION.

We do not warrant uninterrupted website access, error-free content, continuous availability of any wine, or that every vintage, label, photograph, color, or product description will exactly match the item delivered. These disclaimers do not exclude express promises or remedies that applicable law does not permit us to disclaim.

22. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHAPARRAL VIN WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, DATA, GOODWILL, OR OPPORTUNITY; OR THIRD-PARTY TRAVEL, LODGING, TRANSPORTATION, OR OTHER COSTS ARISING FROM OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHAPARRAL VIN’S AGGREGATE LIABILITY FOR A CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO CHAPARRAL VIN FOR THE PRODUCT, RESERVATION, EVENT, OR MEMBERSHIP RELEASE GIVING RISE TO THE CLAIM DURING THE SIX MONTHS BEFORE THE EVENT, OR (B) $100.

These limitations do not apply to liability that cannot lawfully be limited, including as applicable liability for fraud, willful misconduct, gross negligence, certain personal injuries, or nonwaivable consumer rights. Some jurisdictions do not allow certain exclusions, so portions may not apply to you.

23. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Chaparral Vin from third-party claims, damages, judgments, and reasonable costs arising from your unlawful conduct, material breach of these Terms, infringement of another’s rights, unauthorized commercial activity, or injury or damage caused by an animal, minor, vendor, or invitee under your control. This obligation does not require indemnification for Chaparral Vin’s own negligence or conduct to the extent prohibited by law.

24. Disputes, Governing Law, and Venue

  1. Informal resolution. Before filing a non-emergency claim, the claimant should send a written notice describing the issue and requested relief to info@chaparralvin.com and 22 Chaparral Drive, Fredericksburg, Tx 78624. The parties will make a good-faith effort for 30 days to resolve it. This provision does not prevent a party from seeking temporary relief, preserving a limitations period, pursuing a chargeback right, or using a governmental or small-claims process.
  2. Governing law. Texas law governs these Terms, without regard to conflict-of-law principles, except where federal law or nonwaivable law applies.
  3. Venue. Unless the parties adopt the optional arbitration provision below, exclusive venue lies in the state courts located in Gillespie County, Texas, or the applicable federal court serving that county, and each party consents to personal jurisdiction there. Small-claims matters may be brought in any court of competent jurisdiction permitted by law.
  4. Jury waiver—TO THE EXTENT PERMITTED BY LAW, EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES TRIAL BY JURY FOR CLAIMS ARISING FROM THESE TERMS.
  5. BINDING INDIVIDUAL ARBITRATION; CLASS-ACTION AND JURY-TRIAL WAIVER. PLEASE READ THIS PARAGRAPH CAREFULLY. EXCEPT FOR THE LIMITED MATTERS IDENTIFIED BELOW, YOU AND CHAPARRAL VIN AGREE THAT DISPUTES BETWEEN US WILL BE RESOLVED BY FINAL AND BINDING INDIVIDUAL ARBITRATION, NOT IN COURT. ARBITRATION DOES NOT USE A JUDGE OR JURY, DISCOVERY AND APPELLATE REVIEW ARE MORE LIMITED THAN IN COURT, AND YOU AND CHAPARRAL VIN EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.25. Changes, Suspension, and Termination
  6. We may revise these Terms prospectively. The updated version will state its effective date and be posted or otherwise provided as required by law. Material changes to recurring membership charges or other material membership terms will be communicated before they apply when required.
  7. Changes do not retroactively alter a completed purchase or remove rights already accrued unless agreed or legally permitted.
  8. We may suspend or terminate Services, accounts, reservations, orders, or access for safety, legal compliance, fraud, nonpayment, abuse, or material breach. Where appropriate, we will refund prepaid amounts for Services we cancel, less lawful amounts owed.

26. General Terms

  1. Order of control. A signed private-event agreement, written membership enrollment disclosure, or checkout-specific policy controls over these general Terms to the extent of a direct conflict for that transaction.
  2. Severability. If a provision is unenforceable, it will be enforced to the maximum lawful extent or severed, and the remainder will continue.
  3. No waiver. Failure to enforce a provision is not a waiver. A waiver must be in writing by an authorized representative.
  4. Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, financing, reorganization, sale of assets, or transfer of the Services, subject to applicable law.
  5. Force majeure. Neither party is liable for delay or failure caused by events beyond reasonable control, except for payment obligations already due and obligations that applicable law does not excuse.
  6. No third-party beneficiaries. These Terms benefit only the parties and permitted successors and assigns.
  7. Electronic records. You consent to receive contracts, disclosures, notices, and transaction records electronically where legally permitted. You may retain them by printing or saving a copy. Contact us if you need a paper copy.
  8. Headings. Headings are for convenience and do not limit meaning.
  9. Entire agreement. These Terms and incorporated transaction-specific policies are the agreement concerning the applicable Services, except for a separately signed agreement.

PART II — WINE CLUB / MEMBERSHIP TERMS

These provisions apply if you enroll in a Chaparral Vin wine club, allocation program, subscription, or recurring membership (the “Club”). The enrollment page or signed form must disclose your selected tier, bottle count, release frequency, estimated or fixed pricing, discount, benefits, shipping or pickup method, minimum commitment if any, and cancellation method.

27. Membership Eligibility and Account Ownership

  1. The primary member must be at least 21 and provide accurate contact, payment, billing, shipping, and age information.
  2. Membership is held in the name(s) shown in the account. Benefits are personal, revocable, and nontransferable except for an approved spouse/partner or household designee listed on the account. Benefits may not be sold, brokered, pooled for resale, or used for commercial purchasing.
  3. Only an authorized adult may change the account, redeem benefits, pick up wine, or cancel. We may verify identity and authority.
  4. One person or household may maintain ONE membership(s) per tier unless approved.

28. Ongoing Membership and Recurring Charges

  1. Ongoing program. Your Club membership continues until canceled in accordance with these Terms. It does not expire after a release or calendar year.
  2. Recurring authorization. By enrolling, you expressly authorize Chaparral Vin and its payment processor to store your payment credential and automatically charge it for each scheduled Club release and the disclosed price of the wine, taxes, shipping, packaging, and other clearly disclosed charges until cancellation takes effect.
  3. Release notice. We will send advance notice approximately [15] days before each scheduled charge identifying the expected processing date, customization deadline, pickup or shipping method, and reasonably available price or price range. The timing may vary for operational reasons.
  4. Variable amount. If release price depends on bottle selection or then-current retail price, enrollment must state the expected range or calculation method. If the charge will materially exceed the disclosed range, we will obtain additional consent or provide a reasonable opportunity to modify or cancel before charging, as required by law.
  5. Receipt. We will send a receipt or confirmation after processing.
  6. Payment update. You must keep a valid payment method on file. Updating a card does not cancel the membership or revoke authorization for future disclosed charges.

29. Club Releases, Selections, and Substitutions

  1. Releases occur QUARTERLY and include approximately [4 (FOUR)/6 (SIX) OR 12 (TWELVE)] bottles selected under the tier description.
  2. Where customization is offered, changes must be completed by the deadline and through the approved method. Inventory is limited and substitutions or add-ons are not guaranteed.
  3. If a selected wine is unavailable, we may substitute a wine of equal or greater retail value that reasonably fits the tier, contact you for a selection, or issue a credit. We will not make a materially different substitution where prior consent is legally required.
  4. Member pricing and benefits may exclude library wines, futures, large formats, allocated products, third-party products, food, tax, shipping, gratuity, private events, or identified special releases.
  5. Processed releases are final and nonrefundable except for damage, error, a remedy stated in these Terms, or nonwaivable law.

30. Pickup and Shipping for Club Releases

  1. Select shipping or pickup in your account before the announced deadline. Changes after processing may incur reasonable carrier, redirection, packaging, or handling costs.
  2. Pickup releases will be held for [60] days. The pickup rules in Section 11 apply. If not collected, we may ship to the lawful address on file and charge the card on file after advance notice, where operationally and legally permitted.
  3. Shipped releases are subject to Section 10, including adult signature. Members are responsible for return and reshipment charges caused by inaccurate information, refusal, or failed delivery.
  4. We may delay shipments for weather or legal restrictions. A weather hold does not suspend the membership or reverse a properly processed release.

31. Benefits and Member Hospitality

  1. Current benefits are described on the enrollment page and may include discounts, tastings, glasses, reservation access, events, shipping offers, or member seating.
  2. Benefits are subject to availability, capacity, posted house rules, responsible-service decisions, blackout dates, reservation requirements, product exclusions, and lawful service limits. Complimentary alcohol is never guaranteed and will not be served to a minor or intoxicated person.
  3. Unless expressly stated, unused benefits do not roll over, have no cash value, and cannot be combined, transferred, refunded, or redeemed after cancellation or suspension.
  4. Member guests must remain with the member and are subject to all Terms. The member is responsible for ensuring guests understand applicable rules.
  5. We may modify non-price benefits prospectively to maintain a safe and sustainable program. If a change materially reduces the core paid value of the membership, we will provide reasonable notice and any cancellation right required by law.

32. Holds, Skips, Tier Changes, and Failed Payments

  1. Holds/skips. ONE release may be skipped in a rolling 12-month period / Holds are offered on a case by case basis. Requests must be received by the announced deadline. Benefits are suspended during a hold unless stated otherwise.
  2. Tier changes. Tier changes are prospective and subject to availability. Requests received after a processing deadline take effect after the pending release.
  3. Failed payments. If a payment fails, we may retry the charge after notice using the card on file or an updated payment method. Benefits may be suspended while the account is past due.
  4. If payment remains unresolved for [30] days, we may cancel the release, terminate membership, recover lawful costs, or take another remedy disclosed at enrollment. We will not impose an undisclosed penalty.
  5. A chargeback does not itself cancel the Club. Contact us to resolve account issues and submit a separate cancellation request through an approved method.

33. Cancellation

  1. You may cancel the ongoing membership by email to info@chaparralvin.com, phone at (830).362.4054, or in person. We will not require a method materially more burdensome than enrollment where applicable law requires comparable cancellation.
  2. Cancellation requests must identify the member and provide enough information to locate and authenticate the account. We will provide confirmation when processed.
  3. To avoid the next scheduled charge, submit cancellation before the cutoff stated in the release notice, which will be no later than 15 days before processing. A request received after the cutoff takes effect after the already-committed release only if the charge and fulfillment cannot reasonably be stopped; we will disclose the status promptly.
  4. No early-cancellation fee and no minimum release commitment. Membership remains active until the effective cancellation date, and properly processed releases remain payable and nonrefundable except as otherwise stated.
  5. Cancellation ends future recurring charges and prospective benefits. It does not cancel a completed purchase, reverse a charge validly processed before the effective cancellation, or eliminate amounts already owed.
  6. After cancellation, uncollected paid releases remain subject to the pickup/shipping rules. Provide a reasonable final collection or shipping opportunity; do not automatically forfeit paid wine without attorney review.

34. Suspension or Termination by Chaparral Vin

We may suspend or terminate a membership for nonpayment, suspected fraud, resale, abuse of benefits, unlawful conduct, threats or harassment, unsafe behavior, material violation of these Terms, inability to lawfully ship or serve the member, discontinuation of a tier, or closure of the program. Except for serious safety, fraud, or legal concerns, we will provide reasonable notice and an opportunity to cure where practical. If we terminate without member breach after accepting payment for an unfulfilled release, we will provide the wine, a lawful substitute, credit, or refund.
